Company constitution

Complying with regulation

The formal ‘constitution’ of British American Tobacco p.l.c. is prescribed by the UK Companies Act 2006 and associated regulations and is set out in its Articles of Association.

The Articles of Association or bylaws set out a company's regulations for its internal management in the context of such matters as the rights of shareholders, procedure upon an issue or transfer of shares, rights attaching to shares, the appointment, removal and powers of directors and the conduct of Board and general meetings.
